Terms of Service
These Terms of Service (the "Terms") are a binding agreement between you and Tosemum Holdings LLC. By creating an account or using the Kiddlewood app or website (the "Service"), you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
1.What Kiddlewood is
Kiddlewood is a community app that helps parents and guardians discover nearby families, plan playdates and activities, exchange messages, post neighbourhood alerts, and find local activity providers ("Businesses"). Kiddlewood is a venue that connects people. We do not organize, host, supervise, or participate in any meeting, playdate, activity, or service arranged through the app.
2.Who may use Kiddlewood
- You must be at least 18 years old and a parent or legal guardian, or an authorized representative of a Business, to create an account.
- Kiddlewood is for adults only. Children may not use the Service — including through a parent's account or on a parent's device. Information about children in Kiddlewood is entered and controlled by a parent or guardian; children themselves are never users of the Service.
- You must provide accurate information, keep your login credentials secure, and maintain only one personal account. You are responsible for all activity under your account.
- You may not use the Service if you have previously been removed from it, or if you are barred from using it under applicable law.
3.Child safety — zero tolerance
Kiddlewood has zero tolerance for child sexual abuse and exploitation (CSAE). We prohibit, without exception: any content that sexualizes minors; grooming or attempts to establish inappropriate contact with a child; solicitation, sharing, or requesting of child sexual abuse material (CSAM); trafficking or the sexualization of children in any form; and any use of the Service to harm, endanger, or exploit a child.
Violations result in immediate account termination. We report apparent CSAM and child exploitation to the National Center for Missing & Exploited Children (NCMEC) and cooperate with law enforcement. We preserve related account information and content as required by federal law (18 U.S.C. §2258A), including after account deletion.
To report a child-safety concern, use the in-app Report tool or contact safety@kiddlewood.com at any time.
4.Children's information and family privacy
Parents may add basic information about their children (a first name or nickname and an age range) to help match families with similarly-aged kids. Child names are visible only to the parent who entered them. Other users only ever see a count and age ranges — for example, "2 kids · ages 3–5." Our handling of children's information is described in the Privacy Policy, which forms part of these Terms. You represent that you are the parent or legal guardian of any child whose information you add, and that you consent to its use as described there.
5.Your content and conduct
You may post content on the Service — introductions, playdates, activities, alerts, messages, profile information, and Business listings ("Content"). You own your Content. You grant us a non-exclusive, worldwide, royalty-free license to host, store, display, and distribute your Content solely to operate and improve the Service. You are responsible for your Content and represent that you have the rights to post it.
You agree not to post or do any of the following:
- Content that is illegal, threatening, harassing, hateful, sexually explicit, or that violates Section 3;
- Impersonating another person, family, or business, or misrepresenting your identity or affiliation;
- Spam, scams, pyramid schemes, or deceptive commercial solicitation;
- Collecting, scraping, or harvesting information about other users or their children;
- Probing, disrupting, or attempting to bypass the Service's security or access controls;
- Using the Service for any purpose other than genuine family and community connection, or genuine Business listing.
We may review, moderate, remove, or restrict Content and accounts, using manual and automated tools, at our discretion — including in response to reports from users. We are not obligated to monitor Content and do not guarantee that any Content is accurate, safe, or lawful.
6.Meeting in person — your responsibility and assumption of risk
Kiddlewood does not vet its users or Businesses. We do not run background checks, identity verification, licensing checks, or screening of any kind on families or Businesses. Profiles, listings, and messages are created by users, and we cannot and do not verify them.
If you choose to meet anyone through Kiddlewood, attend a playdate or activity, or engage a Business, you do so at your own risk and judgment. You are solely responsible for your safety and, at all times, for the supervision and safety of your children. Kiddlewood never supervises children and is never responsible for them. We strongly encourage meeting in public places, verifying anyone you meet, and independently confirming a Business's licenses, insurance, and qualifications before using its services.
You assume all risks arising from in-person interactions, playdates, activities, and Business services arranged through the Service, and you release Tosemum Holdings LLC from any claims arising out of them to the fullest extent permitted by law.
7.Business accounts and listings
- Business accounts may list real services genuinely offered to families, with accurate business information (name, category, contact details, address, and offerings).
- Businesses are solely responsible for their services, for complying with all laws applicable to them (including licensing, insurance, safety, and child-supervision requirements), and for their dealings with families.
- A listing on Kiddlewood is not an endorsement, recommendation, or certification by us. Families transact with Businesses directly and at their own risk; we are not a party to those transactions.
- We may remove listings or terminate Business accounts that are inaccurate, misleading, unsafe, or in violation of these Terms.
8.Subscriptions and billing (Business plans)
- Kiddlewood is free for families. Businesses may purchase optional paid subscription plans with additional features.
- Payments are processed by Stripe. We do not store your card number. By subscribing, you authorize recurring charges at the displayed price and interval until you cancel.
- You can cancel or change your plan at any time through Manage Subscription in the app, which opens Stripe's billing portal. Cancellation takes effect at the end of the current billing period. Plan changes may be prorated by Stripe.
- Except where required by law, payments are non-refundable. We may change subscription pricing with advance notice; changes apply from your next billing period.
9.Safety tools
The Service includes reporting and blocking tools on profiles, messages, activities, and listings. Blocking removes a person from your Kiddlewood experience; they are not notified. We review reports and may act on them, but we do not guarantee any particular action or timeline. These tools do not replace your own judgment or, in an emergency, contacting local emergency services.
10.Termination
You may stop using the Service and delete your account at any time in Settings. We may suspend or terminate your account, or restrict access to the Service, at any time if we reasonably believe you have violated these Terms, pose a risk to the community, or where required by law. Sections 3, 6, and 11–15 survive termination, and safety-related records may be preserved as described in the Privacy Policy.
11.Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY USER, BUSINESS, CONTENT, OR LISTING IS ACCURATE, RELIABLE, OR SAFE.
12.Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, TOSEMUM HOLDINGS LLC AND ITS MEMBERS, OFFICERS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE — INCLUDING ANY IN-PERSON INTERACTION, PLAYDATE, ACTIVITY, OR BUSINESS SERVICE ARRANGED THROUGH IT — EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS ($100) OR (B) THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE. Some jurisdictions do not allow certain limitations; in those jurisdictions, our liability is limited to the fullest extent permitted by law.
13.Indemnification
You agree to indemnify and hold harmless Tosemum Holdings LLC from claims, damages, and expenses (including reasonable attorneys' fees) arising out of your Content, your use of the Service, your interactions with other users or Businesses, or your violation of these Terms or applicable law.
14.Dispute resolution — arbitration and class waiver
Please read this section carefully. It affects your legal rights.
- Talk to us first. Before filing any claim, you agree to email legal@kiddlewood.com with a description of the dispute and give us 60 days to resolve it informally.
- Binding arbitration. Any dispute that is not resolved informally will be settled by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, held in Maricopa County, Arizona or conducted remotely. Judgment on the award may be entered in any court of competent jurisdiction.
- Class action waiver. Disputes will be resolved only on an individual basis. You and Kiddlewood each waive the right to participate in any class, collective, or representative action, and waive the right to a jury trial.
- Exceptions. Either party may bring an individual claim in small-claims court, and either party may seek injunctive relief in court for intellectual-property infringement or to protect child safety.
- Opt-out. You may opt out of this arbitration agreement by emailing legal@kiddlewood.com within 30 days of first accepting these Terms, with your account email and a statement that you opt out of arbitration.
15.General
These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-laws rules. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms and the Privacy Policy are the entire agreement between you and us regarding the Service.
16.Changes to these Terms
We may update these Terms as the Service evolves. For material changes we will give notice in the app or by email before the change takes effect. Continuing to use the Service after a change takes effect means you accept the updated Terms.
